Request for Certificate of Good Standing

  • The certificate should be obtained in advance of incorporating the entity and should accompany the articles of incorporation or articles of organization filed with the Secretary of State.
  • The applicant needs to identify all owners of the professional corporation (stockholders) or LLC (members).
  • If the name of a professional corporation or LLC is being changed, or the purpose changed, or if the articles are being amended to come into compliance, a new certificate of good standing relating to all owners is required.
  • If the name of the entity is a trade name or the applicant will use a trade name, then the applicant should also be advised that they need to fill out an application for the trade name and not use the trade name until approved.
  • The certificate will not be issued until the trade name is approved.
